Terms of Service

1. Accepting these terms

These Terms of Service (“Terms”) apply to the Spot mobile app, our website at spotcampus.app, and related services (together, the “Services”). “Spot,” “we,” “us,” and “our” refer to Spot, a Minnesota-based service.

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Who may use Spot

You must be at least 13 years old and located in the United States to use Spot. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. You may not use the Services if doing so is prohibited by law.

3. Your account

Provide accurate information and keep your account current. You are responsible for activity through your account and for protecting access to your phone and verification methods. Tell us promptly at hello@spotcampus.app if you believe your account has been accessed without permission.

You may not sell, transfer, or share an account in a way that compromises its security or misrepresents who is using it.

4. Location and Circles

Location access is optional and requires your device permission. If you choose to share location with a Circle, members of that Circle may be able to view it. Only join Circles with people you trust, review who belongs to them, and use the in-app and device controls available to manage sharing.

Location can be delayed, incomplete, or inaccurate because of device settings, connectivity, mapping data, or other factors. Do not rely on Spot to locate someone in an emergency, monitor a person without their knowledge, or make decisions where inaccurate location could cause harm.

5. Your content

You keep ownership of content you submit to Spot. You give us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, modify for technical formatting, display, and distribute that content only as needed to operate, improve, and secure the Services. This license ends when your content is deleted from our systems, except where a longer period is needed for backups, legal obligations, safety, or content that others have independently shared.

You are responsible for your content. You represent that you have the rights needed to submit it and that our permitted use of it will not violate another person’s rights or the law. Consider your selected audience before posting. Other users may capture or reshare content they can access, and Spot cannot control what they do outside the Services.

6. Community rules

You may not use the Services to:

• harass, threaten, stalk, impersonate, or exploit another person;
• track, monitor, or share someone’s location without their knowledge or permission;
• post content that is unlawful, fraudulent, hateful, sexually exploitative, invasive of privacy, or that promotes serious harm;
• infringe intellectual property or other legal rights;
• spam users, manipulate engagement, or use unauthorized automation;
• probe, disrupt, reverse engineer, or bypass the security or access controls of the Services, except where law expressly permits it; or
• use the Services for any illegal or unauthorized purpose.

We may remove content, restrict features, suspend accounts, or report conduct when we reasonably believe it violates these Terms or creates risk for Spot, our users, or others.

7. Spot’s service and intellectual property

The Services, including our software, design, branding, and content we provide, are owned by Spot or our licensors and protected by law. Subject to these Terms, Spot gives you a limited, personal, non-exclusive, non-transferable, revocable right to use the Services for their intended purpose.

Feedback you voluntarily provide may be used without restriction or compensation to improve Spot, but we are not required to use it.

8. Third-party services

Spot relies on third-party services, including mapping, hosting, notification, and email providers. Third-party links, maps, places, and services may be subject to separate terms and privacy policies. We are not responsible for third-party services we do not control.

9. Changes, suspension, and termination

We may add, change, suspend, or discontinue features as Spot evolves. We may suspend or terminate access if you materially or repeatedly violate these Terms, create risk or legal exposure, or misuse the Services. Where practical, we will provide notice.

You may stop using Spot at any time and delete your account in the app. Sections that by their nature should continue after termination, including ownership, disclaimers, limitations of liability, and dispute terms, will continue to apply.

10. Disclaimers

To the fullest extent permitted by law, the Services are provided “as is” and “as available.” Spot disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not promise that the Services, maps, places, user content, or location information will always be available, accurate, current, secure, or error-free. Spot does not control user conduct and is not a substitute for your own judgment, campus authorities, law enforcement, or emergency services. Some jurisdictions do not allow certain disclaimers, so parts of this section may not apply to you.

11. Limitation of liability

To the fullest extent permitted by law, Spot and the people involved in operating it will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost data, profits, goodwill, or opportunities, arising from or related to the Services.

To the fullest extent permitted by law, Spot’s total liability for all claims arising from or related to the Services will not exceed $100. These limitations do not apply where liability cannot legally be limited or excluded.

12. Your responsibility for claims

To the extent permitted by law, you agree to defend and indemnify Spot and the people involved in operating it from third-party claims, damages, and reasonable costs arising from your unlawful use of the Services, your content, or your material violation of these Terms. This obligation does not apply to the extent a claim results from Spot’s own unlawful conduct.

13. Resolving disputes

Before filing a legal claim, you and Spot agree to try to resolve the dispute informally for 30 days. Send a written description of the issue and the resolution you want to hello@spotcampus.app. This step is not required for requests for emergency or injunctive relief.

Minnesota law governs these Terms, without regard to conflict-of-law rules. Any legal action that is not resolved informally must be brought in a state or federal court located in Minnesota, and you and Spot consent to those courts’ jurisdiction. Nothing in these Terms limits rights you may have under consumer-protection laws that cannot be waived by contract.

14. Changes to these terms

We may update these Terms as the Services change. We will update the effective date above and provide additional notice before material changes take effect when required. Continuing to use Spot after an updated version takes effect means you accept the updated Terms.

15. General terms

These Terms and the Privacy Policy are the entire agreement between you and Spot regarding the Services. If a provision is unenforceable, the remaining provisions will remain in effect. Spot’s failure to enforce a provision is not a waiver. You may not transfer these Terms without our consent. We may transfer them as part of a merger, financing, reorganization, or sale of the Services.
